Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Zyra.ai ("Zyra.ai," "we," "us," "our") and govern your use of the Zyra.ai website, mobile app, API, and related services (together, the "Service"). By creating an account, using the Service, or clicking "Accept" where prompted, you agree to these Terms. If you don't agree, don't use the Service.

2. Eligibility

You may use Zyra.ai only if you are:

• At least 13 years old (16 in the EEA/UK, or the age of digital consent in your jurisdiction);
• Not on a sanctions list and not located in a country subject to U.S. embargo;
• Not barred from using the Service under applicable law or a prior termination by us.

If you're using the Service for a business, you represent that you have authority to bind that business to these Terms.

3. Your account

You are responsible for:

• Keeping your login credentials confidential;
• All activity that occurs under your account, whether or not authorized;
• Promptly notifying us of any unauthorized access or security incident;
• Providing accurate, current information (including billing info) and keeping it up to date.

We may require identity verification for certain features. We may suspend or terminate accounts that appear fraudulent, automated, or used in violation of these Terms.

4. The service

Zyra.ai provides an AI research assistant that engages with complex, nuanced, and controversial topics. We may add, modify, or remove features at any time. We do not guarantee any specific model, response style, or uptime unless explicitly stated in a separate written agreement.

Certain features (Safe Search, Private mode, image generation, API access, developer credits) may be plan-dependent. See Pricing for current plan details.

5. Acceptable Use Policy

You agree not to use the Service to:

• Break the law. Don't use Zyra.ai to plan, conduct, or facilitate activity that is illegal in your jurisdiction or in the U.S.
• Harm children. Do not generate, request, distribute, or solicit child sexual abuse material (CSAM) or content that sexualizes minors in any form, including illustrated, written, or AI-generated depictions. This is a zero-tolerance category.
• Make weapons. Do not seek operational synthesis routes, acquisition pathways, or deployment planning for chemical, biological, radiological, or nuclear weapons, or for mass-casualty attacks.
• Target real people with harm. No targeted harassment, doxxing, stalking, non-consensual sexual content of real people, threats of violence, or incitement against specific individuals or groups.
• Defraud others. No impersonation, social-engineering templates aimed at specific victims, forged documents, or schemes that rely on misleading third parties for unlawful gain.
• Attack systems. No malware authoring, active exploitation tooling aimed at systems you don't own or have permission to test, credential stuffing, or denial-of-service assistance.
• Abuse the platform. No scraping at scale, reverse-engineering the service, circumventing rate limits or security, reselling access without authorization, or using the Service to train competing AI models without our written permission.
• Spam people. No bulk unsolicited messaging, SEO link farms, fake-review generation, or automated influence campaigns.

6. Illegal activity & law enforcement

We do not encourage or facilitate illegal behavior. Nothing on the Service constitutes legal, medical, or financial advice; outputs are for research and informational purposes only, and you must comply with applicable law in your jurisdiction.

We cooperate with law enforcement as follows:

• CSAM. We report apparent child sexual abuse material to the National Center for Missing & Exploited Children (NCMEC) as required by 18 U.S.C. § 2258A. We preserve related records and provide them to authorities upon valid request.
• Credible threats of violence. We may escalate to law enforcement where we reasonably believe there is an imminent threat to life or public safety, consistent with the emergency-disclosure exception.
• Valid legal process. We respond to subpoenas, court orders, warrants, and other properly served legal process under applicable law. We may notify the affected user where we are legally permitted to do so.
• Terrorism content. We remove and preserve content that appears to constitute incitement to terrorism or solicitation of terrorist acts, and report it where required.
• Serious fraud. We may refer to fraud task forces and cooperate with investigations where we detect coordinated financial abuse.

Submit abuse reports and law-enforcement requests to abuse@zyra.ai and legal@zyra.ai. We are not obligated to disclose content absent valid legal process, and we will push back on overly broad requests.

7. Your content & outputs

Your inputs

You retain all rights you already have in the content you submit ("Inputs"). You grant Zyra.ai a worldwide, non-exclusive, royalty-free license to host, store, process, and use your Inputs solely to provide and improve the Service, maintain security, and comply with law. Outside of explicit opt-in (see Privacy Policy), we do not use your Inputs to train our models.

Outputs

Subject to your compliance with these Terms, Zyra.ai assigns to you all of our right, title, and interest (if any) in the content the Service produces in response to your Inputs ("Outputs"). This means:

• You own the Outputs you generate, to the extent such ownership can be granted under law.
• You may use Outputs for any lawful purpose, commercial or otherwise.
• Due to the nature of generative AI, Outputs may not be unique. Other users may receive similar responses to similar prompts.
• We make no representation that Outputs are free from third-party rights or fit for any particular purpose.

8. AI output disclaimer

You expressly agree that:

• You will independently verify any factual claim before relying on it;
• You will not make medical, legal, financial, safety, or life-critical decisions based solely on Outputs;
• You are solely responsible for any content you publish or distribute that was generated with the Service;
• We do not endorse the content of Outputs and disclaim responsibility for their accuracy, legality, or suitability for your use case.

9. Fees, billing, and cancellation

• Plans. Pricing, plan features, and limits are on the Pricing page and may change. We'll notify you before changes apply to your next renewal.
• Billing. Paid plans are billed in advance monthly or annually depending on your selection. Subscriptions auto-renew until cancelled.
• Trials. Some plans offer a free trial. If you don't cancel before the trial ends, your card is charged for the first billing period.
• Taxes. Fees are exclusive of taxes. You are responsible for applicable sales, use, VAT, or equivalent taxes.
• Cancellation. You may cancel anytime from account settings. Access continues through the paid-for period; no partial-period refunds unless required by law.
• Refunds. Fees are non-refundable except where expressly stated or required by law (e.g., statutory withdrawal rights in certain jurisdictions).
• Failed payments. If we can't collect payment, we may downgrade the account to Free tier or suspend paid features.
• Chargebacks. Initiating a chargeback for disputes we could have resolved may result in account termination.

10. Intellectual property

The Service, our branding, software, documentation, and underlying models are protected by copyright, trademark, patent, trade secret, and other laws. Except for the limited license we grant you to use the Service, we retain all right, title, and interest in the Service and our IP.

You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary notices; not to use our marks without written permission; and not to claim any affiliation or endorsement that doesn't exist.

11. DMCA & copyright claims

If you believe content on the Service infringes your copyright, send a notice to our designated agent at dmca@zyra.ai including: (i) identification of the copyrighted work; (ii) identification of the allegedly infringing material with location; (iii) your contact info; (iv) a good-faith statement that use is not authorized; (v) a statement under penalty of perjury that your notice is accurate and that you are authorized to act; and (vi) your physical or electronic signature.

Repeat infringers will have their accounts terminated. Counter-notices follow 17 U.S.C. § 512(g).

12. Privacy

Our Privacy Policy explains what we collect, how we use it, and your rights. By using the Service, you acknowledge the privacy practices described there.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your account, with or without notice, if:

• You breach these Terms or the Acceptable Use Policy;
• You create risk or possible legal exposure for us or our users;
• Your account shows patterns consistent with fraud, abuse, or automated misuse;
• Provision of the Service becomes commercially or legally impracticable;
• Law requires us to do so.

On termination, your license to use the Service ends. Sections that by their nature should survive (IP, disclaimers, liability limits, indemnification, disputes, governing law) survive termination.

14. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, or that the service will be uninterrupted or error-free. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, some of the above exclusions may not apply to you.

15. Limitation of liability

To the maximum extent permitted by law, Zyra.ai and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to these terms or the service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

In no event will our total cumulative liability for all claims related to the service exceed the greater of (a) the amount you paid us for the service in the 12 months before the claim arose, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the limitation of liability for consequential or incidental damages; in those jurisdictions, our liability will be limited to the greatest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Zyra.ai and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to (i) your use of the Service, (ii) your Inputs or Outputs, (iii) your violation of these Terms or any law, or (iv) your infringement of any third-party right.

17. Disputes & arbitration

Please read this section carefully — it affects your legal rights.

Informal resolution

Before filing any claim, you agree to try to resolve the dispute informally by contacting legal@zyra.ai with a description of your claim and proposed resolution. We'll try to respond within 30 days.

Binding arbitration

Any dispute that can't be resolved informally will be resolved by final, binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in the city closest to your residence that offers JAMS services, or, for U.S. users, in San Francisco, California. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek provisional injunctive relief in court to protect intellectual-property rights pending arbitration.

Class action waiver

You and Zyra.ai agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Class arbitrations, class actions, and private attorney-general actions are not permitted unless both parties agree in writing.

Opt-out

You may opt out of this arbitration agreement by sending written notice to legal@zyra.ai within 30 days of first accepting these Terms, stating your intent to opt out. Opting out does not affect your agreement to the rest of these Terms.

Governing law

These Terms are governed by the laws of the State of California, excluding its conflict-of-law rules. For any claims not subject to arbitration, you and Zyra.ai consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

18. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance. If you don't agree, your remedy is to stop using the Service before the effective date.

19. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy and any other policies we reference, are the entire agreement between you and Zyra.ai regarding the Service.
• No waiver. Our failure to enforce any provision is not a waiver of that provision.
• Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
• Force majeure. Neither party is liable for failure or delay due to causes beyond reasonable control.
• Export. You will comply with all applicable export-control and sanctions laws.
